1. Scope This Export Compliance Statement applies to all business relationships, deliveries and services provided by Matechnia UG (haftungsbeschränkt). It supplements the General Terms and Conditions of Sale (B2B) and all other contractual agreements between the parties.
2. Compliance with Export Control Regulations Matechnia UG (haftungsbeschränkt) is committed to complying with all applicable export control and sanctions regulations, including in particular:
the export control regulations of the European Union;
the German Foreign Trade and Payments Act (Außenwirtschaftsgesetz – AWG);
the German Foreign Trade and Payments Ordinance (Außenwirtschaftsverordnung – AWV);
applicable embargo regulations; and
all other relevant national and international export control laws and regulations.
3. Sanctions and Embargoes Deliveries shall only be made provided that no applicable export prohibitions, trade restrictions or economic sanctions prevent such delivery. Matechnia UG (haftungsbeschränkt) reserves the right to reject, suspend or cancel any order where this is required to comply with applicable export control or sanctions regulations.
4. End Use of Products The Buyer undertakes to:
comply with all applicable export control laws and regulations;
use the products exclusively for lawful purposes;
refrain from using the products for military, nuclear or any other prohibited purposes where such use is restricted by law; and
comply with all applicable embargoes and sanctions regulations.
5. Re-export The Buyer is solely responsible for obtaining any licences, permits or approvals required for the resale or re-export of the products. Matechnia UG (haftungsbeschränkt) assumes no responsibility for obtaining such authorisations.
6. Prohibited Recipients The Buyer confirms that the supplied products will not, directly or indirectly, be supplied, transferred or made available to:
sanctioned individuals;
sanctioned entities;
organisations;
countries; or
territories
where such transfer would violate applicable export control or sanctions regulations.
7. End User and End Destination Matechnia UG (haftungsbeschränkt) reserves the right to request information regarding the end user and the final destination of the supplied products where necessary. The Buyer agrees to provide such information upon reasonable request to the extent required for compliance with applicable legal obligations.
8. Buyer's Cooperation The Buyer shall provide all information reasonably required to assess compliance with applicable export control regulations. Such information may include, but is not limited to:
the name of the end customer;
the country of destination;
the intended end use;
an end-use or end-user declaration; and
any other information required by competent authorities.
9. Suspension or Refusal of Deliveries Matechnia UG (haftungsbeschränkt) shall be entitled to suspend or refuse deliveries where:
required licences or approvals are not available;
export prohibitions apply;
sanctions lists are affected; or
legal or regulatory risks exist.
To the extent permitted by applicable law, the Buyer shall have no claim for damages arising from such suspension or refusal.
10. Liability The Buyer shall be liable for all damages, costs, losses and governmental measures resulting from inaccurate information provided by the Buyer or from violations of applicable export control regulations.
11. Changes in Export Control Regulations Changes in export control laws and regulations may affect existing or future deliveries at any time. Matechnia UG (haftungsbeschränkt) does not guarantee that a delivery which is permissible at the time an order is placed will remain permissible at the time of shipment or thereafter.
12. Dual-Use Goods Matechnia UG (haftungsbeschränkt) generally supplies spare parts and components intended for civil applications. Where individual products are classified as dual-use items or are subject to specific export licensing requirements, deliveries shall only be made in full compliance with the applicable legal provisions.
13. Export Licence Reservation All deliveries are subject to the receipt of any required governmental authorisations and to full compliance with all applicable national and international export control regulations.
14. Severability Should any provision of this Export Compliance Statement be or become invalid or unenforceable, the validity and enforceability of the remaining provisions shall remain unaffected.
